Contract drafts

First drafts from your agent, reviewed by counsel and the business owner, before redlines start.

Send one team-only link. Counsel, the business owner, and finance comment on the same draft. When someone needs a change, agent connect hands it to the agent that wrote it.

Mutual NDA: Halcyra Payments and Riverstone Logistics

Owner: Paul Osei. Counterparty: Riverstone Logistics. Internal draft.

Mutual NDA between Halcyra Payments and Riverstone Logistics, a new carrier. Internal draft. Outside counsel gets a clean copy from the usual workflow when this pass is done. The file on Paul's machine is the working draft.

1. Term

This Agreement remains in effect for two (2) years from the Effective Datethree (3) years from the Effective Date. Either party may terminate with thirty days written notice. The term is the standard Halcyra uses for a supplier that will still be in the account after the first season.

2. Confidential information

Each party will protect the other's Confidential Information with the same care it uses for its own, and not less than reasonable care. A party may share it with staff and with counsel who need it for this relationship and who are bound to keep it.

3. Residuals

Nothing in this Agreement prevents either party from using Residuals retained in the unaided memory of its personnel.

Counsel wants this clause narrower for a logistics partner. Paul keeps residuals for inbound logistics too. That argument stays between them. It is not an instruction to the draft.

4. Exclusions

Information already public, or already held without a duty to keep it, is not Confidential Information under this Agreement.

7. Survival

Confidentiality obligations survive for two (2) years after this Agreement ends.Confidentiality obligations survive for three (3) years after this Agreement ends, matching section 1.

unaided memory

Miriam

Our standard residuals clause is narrower. I'd remove it for a logistics partner.

Paul Osei

We keep residuals for inbound logistics too.

two (2) years from the Effective Date

Paul Osei

@agent make the term three years and update every clause that references it.

agent

Done. Section 1 now reads three (3) years. Survival clause in section 7 extended to match.

Fictional example: a Halcyra Payments mutual NDA draft in Gander, with finance requesting a longer term and the business owner using agent connect to make the change.

How contract drafts get reviewed today

Most teams move Word files around in email. Outside counsel marks up a redlined PDF. Internal counsel replies with another redlined PDF. The business owner opens one, makes a comment in an email, and finance opens a different version. By the time anyone looks at the file, three people have copies and no one has the right one.

A shared doc with redlines works until someone accepts changes they shouldn't have. A contract management tool is overkill for a first draft and can't run on the lawyer's machine the way a coding agent can.

The agent that wrote the first draft has the brief, the standard clauses, and the playbooks for the contract type. None of the reviewers can reach it.

One draft, three reviewers, one agent

Here's a normal week at Halcyra Payments, a small fintech that processes payouts for marketplaces. Paul, who runs operations, asks his agent for a first draft of a mutual NDA with Riverstone Logistics, a new carrier. The agent pulls the standard NDA template, the standard term clause, and the residuals carve-out Paul prefers. It saves legal/mutual-nda.md and runs gander watch. Paul sends the link to Miriam (counsel), Ellen (finance), and the business owner (Paul himself).

Miriam opens it first and highlights the residuals section. "Our standard residuals clause is narrower. I'd remove it for a logistics partner." Paul replies in the same thread that they keep residuals for inbound logistics too. That's a conversation between two people, so it stays a normal thread. The agent never sees it.

Ellen reads the term clause and starts her own thread: "Term should be three years to match our standard. Two years is short for supplier relationships." Miriam agrees. Paul starts a new comment with agent connect: "@agent make the term three years and update every clause that references it." That lands in Paul's agent session, the one that wrote the draft and still has the standard clauses open. The agent edits the term in section 1, the survival reference in section 7, and replies in the thread with what changed. Everyone's tab updates. Miriam accepts the change in the browser.

When the draft is ready for outside counsel, the team sends a clean copy out of their existing workflow. The file on Paul's machine was the working draft the whole time.

Who's in the doc

CounselBusiness ownerFinanceThe author's agent

Counsel owns clause language and the standard playbooks.

Business owner runs the deal and owns the contract terms.

Finance reads the term, payment, and survival clauses.

The author's agent has the standard clauses and the brief. Takes the work when someone uses agent connect.

Reviewers only need a browser. Talk to each other in normal threads. Use agent connect when you want the draft changed. Outside counsel doesn't get a link to the working draft. Once the team signs off, the clean copy goes to outside counsel through your existing workflow.

Agents that fit contract drafts

Grok BotGood for prose-first drafting from a brief, with the Gander MCP server connected. Picks up agent connect comments and updates dependent clauses.
Claude CodeReads the standard clauses and your prior contracts in the repo. Same skill and MCP setup as the other engineering-led flows.

A contract draft doesn't need a new contract tool. It needs counsel, the business owner, and finance on the same team-only link, with the agent that wrote it still on call.
